1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of Social Space's websites, apps, creator dashboards, messaging, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least the age of majority in your jurisdiction (or have parental/guardian consent if under that age) to use the Platform. You represent that the information you provide is accurate and complete.

If you are under the age of majority where you live, you may only use the Platform with the involvement and consent of a parent or legal guardian. We may request proof of such consent at any time.

3. Accounts & Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of unauthorized access. We may suspend or terminate accounts for suspected abuse, fraud, or violations of these Terms or law.

4. Platform Overview

The Platform enables creators to publish brand-safe content, offer memberships and perks, receive tips, and interact with fans via comments, DMs, email/SMS broadcasts, and similar features.

5. Payments, Fees & Payouts

Transactions are processed by third-party payment providers.

Platform and processing fees will be disclosed during onboarding or at point of purchase and may change with notice.

Payouts to creators occur on our posted schedule and may be subject to fraud, risk, or compliance holds.

Users and creators are responsible for all taxes, duties, and filings arising from their purchases or earnings.

We may issue refunds or credits at our discretion to address chargebacks, fraud, or customer experience issues; related amounts may be offset from creator payouts.

6. Content Ownership & License

Creators retain ownership of original content they post.

By posting content, you grant Social Space a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, cache, reproduce, transmit, display, perform, adapt, and distribute such content solely to operate, improve, secure, and promote the Platform and your presence on it. This license ends when you delete content from the Platform, except where retention is required for legal, audit, dispute, or backup purposes.

You must have all rights necessary to post the content you upload.

7. Brand-Safe Content Standards (Strict)

The Platform is brand-safe. The following are prohibited and may result in removal, restrictions, withheld payouts, suspension, or termination:

  • Sexual or explicit content, including nudity; sexual acts (real or simulated); pornography; erotic services; sexualized roleplay; sexual solicitation; or content intended to cause sexual arousal.
  • Sexualization of minors or young-appearing persons, exploitation, non-consensual content, or anything that risks user safety.
  • Hate, harassment, doxxing, threats, or incitement of violence; graphic violence or gore.
  • Illegal activity; promotion or sale of illegal goods/services; instructions to commit crimes.
  • Gambling, weapons, or regulated products/services without our written approval and applicable compliance.
  • Spam, scams, impersonation, deceptive or misleading conduct; attempts to circumvent Platform fees or off-platform payment steering derived from Platform activity.
  • Malware, scraping, reverse engineering, or interference with Platform integrity or security.
  • Links, QR codes, or instructions that drive users to prohibited content or transactions outside the Platform when the purpose is to evade our rules, fees, or brand-safety standards.

We may use automated tools and human review to enforce these standards.

8. Messaging, DMs, Tips & Community Interactions

Paid or free DMs, comments, tips, and broadcasts must remain brand-safe and compliant with these Terms. No sexual solicitation, explicit content, harassment, or off-platform steering for prohibited purposes.

9. Data Portability ("Own Your Audience")

Subject to law and anti-abuse controls, creators may access or export permissible fan contact data (e.g., email/SMS consent lists) collected through the Platform. You must comply with all applicable laws (e.g., CAN-SPAM, TCPA, GDPR/UK-GDPR, CASL) and honor user opt-outs. Misuse (spam, harassment, deceptive practices) may lead to enforcement action.

10. Intellectual Property; Repeat Infringers

Do not post content that infringes others' IP, privacy, or publicity rights. We may remove infringing content and terminate repeat infringers in appropriate circumstances.

11. DMCA Notice

If you believe content on the Platform infringes your copyright, send a notice meeting 17 U.S.C. §512(c)(3) requirements to:

12. Privacy & Communications Consent

By using the Platform, you consent to transactional communications and, where permitted, marketing communications via email and/or SMS. You may opt out of marketing at any time (instructions provided in messages). Standard carrier/data rates may apply. Our data practices are described in our Privacy Policy.

13. Acceptable Use; Security

You agree not to: (a) access or attempt to access non-public areas or systems; (b) probe, scan, or test vulnerabilities; (c) interfere with users or platform operations; (d) harvest data without consent; (e) resell or lease access; or (f) use bots or automation that degrade performance or violate rate limits. We may throttle or block abusive traffic.

14. Moderation & Enforcement

We may remove content, limit features, withhold payouts as required by law/risk, or terminate accounts to protect users, brands, and the Platform. We may preserve and disclose information as required by law or to protect rights, safety, and security.

15. Third-Party Services

Third-party services (payment processors, email/SMS providers, analytics, etc.) are governed by their own terms and privacy policies. We are not responsible for their acts or omissions.

16. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION OR ACCURACY OF CONTENT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL SPACE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS YOU PAID TO US (NET OF FEES PASSED THROUGH TO THIRD PARTIES) IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.

18. Indemnification

You agree to defend, indemnify, and hold harmless Social Space and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content; (b) your use of the Platform; (c) your breach of these Terms; or (d) your violation of law or third-party rights.

19. Changes to the Platform or Terms

We may modify, suspend, or discontinue any feature at any time. We may update these Terms from time to time. Material changes will be notified by posting the updated Terms with a new Effective Date. Continued use after changes constitutes acceptance.

20. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles.

21. Binding Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. It affects your rights.

Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, before a single arbitrator, in Sussex County, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

No Class Actions. You and Social Space agree that each may bring claims against the other only in an individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Injunctive Relief; IP. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief or pursue claims for infringement, misuse, or misappropriation of IP in court.

Opt-Out. You may opt out of arbitration by sending written notice to support@socialspaceapp.com within 30 days of first accepting these Terms; include your name, the email associated with your account, and a clear statement of opting out of arbitration. If you opt out, you agree to the exclusive jurisdiction and venue of the state and federal courts in Sussex County, Delaware.

22. Severability; Waiver; Assignment

If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets.

23. Entire Agreement; Survival

These Terms (and referenced policies) constitute the entire agreement between you and Social Space regarding the Platform and supersede prior agreements. Sections that by their nature should survive (e.g., licenses, IP, payments, disclaimers, limits, indemnity, dispute resolution) will survive termination.
